These Terms of Use (“Terms”) govern your access to and use of Univerax.com, its related websites, applications, interfaces, features, and marketplace services (collectively, the “Platform”).

Additional terms may apply when you sell a digital product, provide a service, make a purchase, book an appointment, subscribe to a paid feature, participate in a promotional program, or use a specific Platform feature.

If you do not agree to these Terms, you must not use the Platform.

1. About Univerax

Univerax is a multi-category marketplace and technology platform that may enable users to:

Discover, list, license, purchase, or access digital products;

Request, offer, purchase, or deliver professional and expert services;

Arrange consulting, training, private lessons, development, design, creator, influencer, technology, or other professional services;

Make or manage bookings and appointments;

Submit service requests or receive proposals;

Process orders and payments through supported payment methods;

Publish ratings, reviews, listings, portfolios, and other content; and

Use additional networking, communication, analytics, artificial intelligence, or business tools as they become available.

Available features may differ by location, account type, service category, device, or applicable law.

2. Platform Roles

A user may act in one or more of the following roles:

2.1 Buyer or Customer

A buyer or customer may purchase or license digital products, request or purchase services, make bookings, communicate with sellers or providers, and use other customer-facing features.

2.2 Author or Seller

An author or seller may create listings and offer digital products, subject to the applicable Seller or Author Terms, licensing rules, review procedures, fees, and eligibility requirements.

2.3 Service Provider or Expert

A service provider or expert may offer consulting, training, private lessons, development, design, creator services, professional services, appointment-based services, or other permitted services, subject to the applicable Service Provider Terms.

2.4 Univerax

Unless a listing or checkout page expressly identifies Univerax as the seller or service provider, Univerax acts as the operator of the Platform and not as the seller, author, employer, agent, partner, or direct provider of an independent user’s product or service.

Where Univerax directly offers a product or service, that role will be identified in the applicable listing, order information, or transaction terms.

3. Eligibility

You may use the Platform only if:

You have the legal capacity to enter into a binding agreement;

Your use of the Platform is permitted under applicable law;

You provide accurate and current information where requested; and

You are not prohibited or restricted from using the Platform under applicable sanctions, trade restrictions, court orders, or other binding legal requirements.

If you are under the age of legal majority in your jurisdiction, you may use the Platform only where permitted by law and with any legally required authorization from a parent or legal guardian.

Certain products, services, seller functions, or provider categories may be subject to additional age, identity, professional qualification, business registration, or geographic requirements.

4. Accounts and Account Security

Some Platform features require an account.

You are responsible for:

Providing accurate, complete, and current registration information;

Keeping your login credentials confidential;

Using a strong and unique password;

Preventing unauthorized access to your account;

Keeping your contact and payment-related information current; and

Promptly notifying Univerax of suspected unauthorized access or security incidents.

You must not:

Create an account using another person’s identity without authorization;

Transfer, sell, rent, or share your account in an unauthorized manner;

Create accounts to evade restrictions, suspensions, fees, or enforcement measures;

Use automated methods to create or control accounts without permission; or

Misrepresent your identity, qualifications, location, affiliation, or authority.

Actions taken through your account may be treated as authorized by you unless you promptly notify us of unauthorized use. This does not limit any non-waivable rights or protections available under applicable law.

5. Additional Agreements and Policies

These Terms form part of a broader contractual and policy framework. Depending on how you use the Platform, the following documents may also apply:

Membership Agreement;

Privacy Policy;

KVKK Privacy Notice;

Cookie Policy;

Seller or Author Terms;

Service Provider Terms;

Digital Product License Terms;

Refund and Cancellation Policy;

Distance Sales Preliminary Information;

Distance Sales, Digital Content, or Service Agreement;

Booking, appointment, rescheduling, and no-show conditions;

Premium Terms;

Free Items Policy;

Referral Program Terms; and

Category-specific or promotional rules.

Transaction-specific information displayed during checkout, booking, or order confirmation applies to that particular transaction.

If there is a conflict, transaction-specific terms generally govern the relevant transaction, and role-specific terms generally govern the relevant seller, author, or provider activity, unless applicable law requires otherwise.

6. Marketplace Relationship

Independent sellers, authors, and service providers are responsible for the products, services, statements, qualifications, prices, delivery commitments, and other information they publish or provide.

Unless expressly stated otherwise for a particular transaction:

A contract for a third-party product or service is formed between the buyer and the identified seller or provider;

Univerax is not the creator, owner, employer, or direct provider of that third party’s product or service;

Sellers and providers determine the permitted scope and commercial details of their offerings, subject to Platform rules;

Sellers and providers are responsible for obtaining required rights, registrations, licenses, permits, and professional qualifications; and

Buyers are responsible for reviewing the listing, seller or provider identity, transaction terms, compatibility information, delivery conditions, and cancellation rules before ordering.

Univerax may provide listing, discovery, communication, payment coordination, order management, moderation, support, and dispute-handling tools. Providing such tools does not automatically make Univerax a party to every transaction or responsible for every act or omission of an independent seller or provider.

Nothing in these Terms excludes responsibilities that applicable law imposes on Univerax as a platform operator, intermediary service provider, seller, service provider, or other regulated party.

7. Listings and Offers

Users who publish listings or offers must ensure that all information is accurate, clear, lawful, and not misleading.

Listings must disclose, where relevant:

The identity and role of the seller or provider;

The main characteristics of the product or service;

Price, currency, taxes, fees, and possible additional charges;

License type and usage restrictions;

File type, technical requirements, and compatibility;

Delivery method and expected delivery time;

Scope, milestones, revisions, and customer requirements;

Appointment date, duration, location, or delivery channel;

Cancellation, rescheduling, refund, and no-show conditions;

Support or update commitments; and

Any legally required warning, qualification, disclosure, or limitation.

Univerax may review, request changes to, restrict, reclassify, suspend, or remove listings that violate these Terms, applicable policies, third-party rights, or law.

Review or publication of a listing does not constitute Univerax’s endorsement, certification, guarantee, or legal approval of that listing.

8. Digital Products

Digital products may include software, source code, templates, designs, media, documents, artificial intelligence assets, models, tools, digital downloads, or other electronically supplied content.

A purchase of a digital product generally grants the buyer a limited license under the license terms shown for that product. It does not transfer ownership of the underlying intellectual property unless the applicable transaction terms expressly state otherwise.

Users must not, except where expressly permitted by the applicable license or mandatory law:

Resell or redistribute digital files on a standalone basis;

Share download credentials or access links;

Sublicense a product;

Claim authorship or ownership of another person’s work;

Remove copyright, trademark, attribution, or rights-management notices;

Use a product beyond the scope of the purchased license; or

Extract, reproduce, or distribute protected components in an unauthorized manner.

Standard, Extended, or other license names may have specific meanings defined in separate License Terms. Buyers must review the applicable license before purchase and use.

Sellers must not upload or distribute files that contain malware, hidden harmful functionality, unauthorized tracking, infringing materials, stolen content, or deceptive components.

Rules governing download access, updates, support, refunds, and statutory withdrawal or cancellation rights are addressed in the applicable listing, License Terms, Refund and Cancellation Policy, and transaction-specific consumer documents.

9. Services, Requests, and Bookings

The Platform may allow customers to request or purchase services and allow providers to submit offers or accept bookings.

The applicable listing, proposal, order, or booking confirmation should identify:

The service scope and expected outcome;

Required customer information or materials;

Price and pricing model;

Delivery method;

Delivery date or estimated timeline;

Session length or booking duration;

Revision or follow-up entitlements;

Cancellation and rescheduling conditions; and

Any category-specific requirements.

A service request, inquiry, message, or proposal does not necessarily create a binding contract. A transaction becomes binding at the point specified in the applicable order flow, such as provider acceptance, customer confirmation, successful payment, or another clearly disclosed event.

Independent providers are responsible for performing their services with the legally required care, competence, qualifications, and professional standards.

Univerax does not guarantee that a provider will accept a request, that a buyer will proceed with an order, or that a particular result will be achieved.

Medical, legal, financial, engineering, psychological, or other regulated professional services may be restricted or subject to additional verification. A provider must not offer regulated services without the qualifications, authorizations, and disclosures required by applicable law.

Users should not disclose health data, identification documents, financial data, or other sensitive information unless it is necessary, permitted, and requested through an appropriate and secure process.

10. Orders and Contract Formation

The display of a listing does not necessarily constitute a binding offer where applicable law treats it as an invitation to transact.

Before placing an order, buyers must review the transaction summary and correct any input errors. Depending on the transaction, the final order step may include:

Product or service information;

Seller or provider identity;

Total price and fees;

Billing and tax information;

Delivery or performance conditions;

License terms;

Cancellation and refund rules;

Statutory preliminary information;

A distance sales or service agreement; and

Any express request relating to immediate digital access or early service performance.

An order may be rejected or cancelled where permitted by law, including in cases of payment failure, fraud risk, manifest pricing error, legal restriction, technical error, unavailable capacity, or violation of Platform rules. Any resulting refund will be handled according to applicable law and the relevant transaction terms.

11. Payments

Payments may be processed through independent third-party payment gateways or financial service providers selected by Univerax.

The availability of a payment method may depend on the user’s location, currency, transaction type, risk assessment, or provider support.

Univerax does not assume that it directly stores full payment-card details. Card and payment data may be collected and processed by the relevant payment provider under its own terms and privacy notices. Univerax may receive limited payment-related information, such as transaction status, payment reference, amount, currency, masked card information, fraud indicators, or refund status.

Users authorize the collection of the disclosed price, taxes, fees, and other clearly identified amounts when submitting a payment.

Users must not:

Use a payment method without authorization;

Circumvent Platform fees or payment controls;

Manipulate transactions, refunds, promotions, or chargebacks;

Conduct fraudulent or sham transactions; or

Use the Platform for money laundering or unlawful financial activity.

12. Fees, Commissions, and Provider Earnings

Univerax may charge buyers, sellers, authors, or providers fees, commissions, subscription charges, payment-related costs, or other disclosed amounts.

Applicable fees must be presented through the relevant pricing page, seller/provider dashboard, transaction flow, or role-specific agreement.

Provider earnings may be subject to:

Platform commissions;

Payment-processing deductions;

Taxes or legally required withholding;

Refunds and chargebacks;

Fraud or compliance reviews;

Reserve or settlement periods;

Minimum payout thresholds; and

Verification requirements.

Detailed earning and payout conditions must be governed by the applicable Seller or Service Provider Terms and must not be inferred solely from these Terms.

13. Cancellations, Refunds, and Withdrawal Rights

Refund and cancellation eligibility depends on factors including:

Whether the transaction involves digital content or a service;

Whether Univerax or an independent user is the seller or provider;

Whether performance, download, access, or delivery has started;

The booking and cancellation conditions disclosed before purchase;

Whether the user acts as a consumer;

The user’s jurisdiction; and

Any mandatory statutory rights.

The applicable Refund and Cancellation Policy and transaction-specific terms provide additional information.

Nothing in these Terms excludes or restricts any consumer right that cannot lawfully be waived. A general statement that all transactions are non-refundable will not override mandatory law.

14. User Content

“User Content” includes listings, product descriptions, files, portfolio items, profile information, reviews, comments, service requests, messages, images, videos, and other materials submitted to the Platform.

You retain ownership of your User Content, subject to the rights of others.

By submitting User Content, you grant Univerax a non-exclusive, worldwide, royalty-free license to host, store, reproduce, format, adapt for technical purposes, display, distribute, and otherwise use that content as reasonably necessary to:

Operate and secure the Platform;

Display and promote your listing or profile;

Process transactions;

Provide search and discovery functions;

Perform moderation and support;

Prevent fraud and abuse; and

Comply with legal obligations.

This license continues for as long as reasonably necessary for these purposes, subject to applicable law, deletion requests, transaction records, backups, and legal retention requirements.

You represent that:

You own or have the necessary rights to submit the User Content;

The content does not infringe intellectual property, privacy, confidentiality, publicity, or other rights;

The content is accurate and not deceptive;

Required permissions and disclosures have been obtained; and

The content complies with these Terms and applicable law.

15. Reviews and Ratings

Reviews must reflect a genuine experience with the relevant product, service, seller, or provider.

You must not:

Submit fake, purchased, coordinated, or misleading reviews;

Review your own product or service through another account;

Offer undisclosed compensation for positive reviews;

Threaten or pressure another user regarding a review;

Include unlawful personal data, confidential information, harassment, or irrelevant promotional content; or

Manipulate ratings or reputation systems.

Univerax may use automated or manual measures to detect abuse and may restrict or remove reviews where reasonably necessary. Univerax does not guarantee that every review is accurate and does not endorse opinions expressed by users.

Where required by law, Univerax may disclose whether and how it verifies that reviews originate from users who purchased or used the relevant offering.

16. Acceptable Use

You must not use the Platform to:

Violate any applicable law, regulation, sanction, or court order;

Infringe intellectual property or other third-party rights;

Commit fraud, impersonation, deception, or identity misuse;

Upload malware, malicious code, corrupted files, or harmful instructions;

Interfere with Platform security, integrity, or availability;

Probe, scan, or test vulnerabilities without written authorization;

Scrape, crawl, harvest, or extract data through unauthorized automated means;

Reverse engineer protected Platform components except where mandatory law permits;

Bypass technical restrictions, fees, moderation, or access controls;

Send spam or unauthorized commercial communications;

Harass, threaten, exploit, or discriminate against another person;

Publish illegal, harmful, deceptive, or prohibited products or services;

Request or disclose unnecessary sensitive personal data;

Manipulate search, rankings, referrals, promotions, reviews, or analytics;

Conduct transactions intended to conceal unlawful payments; or

Encourage another person to do any of the above.

Univerax may maintain more detailed prohibited-content or category policies.

17. Intellectual Property Rights

The Platform, including its software, interface, branding, layout, databases, text, graphics, and original content, is owned by or licensed to Univerax and is protected by applicable intellectual property laws.

Subject to these Terms, Univerax grants you a limited, revocable, non-exclusive, non-transferable right to access and use the Platform for its intended purposes.

No rights are granted to use the Univerax name, logo, trademarks, domain names, or brand elements without prior written permission, except where applicable law permits nominative reference.

Third-party products and User Content remain subject to the rights of their respective owners and the applicable licenses.

18. Intellectual Property Complaints

If you believe that content available through the Platform infringes your intellectual property rights, you may submit a notice to [IP COMPLAINT EMAIL OR FORM URL].

A notice should include sufficient information to identify:

The complainant and relevant rights;

The protected work or subject matter;

The allegedly infringing content and its location;

The basis of the complaint;

Contact information; and

Any declaration or supporting document required by applicable law.

Univerax may remove or restrict content, request additional information, notify the affected user, or take other appropriate action. Submitting a knowingly false or misleading complaint may result in legal responsibility.

19. Communications Between Users

The Platform may provide messaging, inquiry, collaboration, or support tools.

Users must use these tools lawfully and professionally. Users must not use them to send spam, solicit prohibited off-platform payments, distribute malware, harvest personal data, or engage in harassment or fraud.

Univerax may process communications where reasonably necessary for delivery, security, fraud prevention, support, dispute resolution, moderation, or legal compliance, as described in the applicable Privacy Policy and notices.

Users should not assume that communication tools are suitable for emergency, privileged, medical, financial, or highly confidential communications.

20. Artificial Intelligence Features

The Platform may offer or integrate artificial intelligence, automation, analytics, recommendation, or digital twin functionality.

Where such features are available:

Outputs may be incomplete, inaccurate, outdated, or unsuitable for a particular purpose;

Users must independently evaluate outputs before relying on them;

Outputs must not be treated as professional advice unless expressly provided as such by a qualified and identified professional;

Users must have the necessary rights and lawful basis to submit input data;

Sensitive or confidential information should not be submitted unless the feature expressly supports and lawfully permits such processing; and

Additional product-specific terms may apply.

Univerax does not guarantee that artificial intelligence outputs are unique or free from error.

21. Third-Party Services and Integrations

The Platform may interact with payment gateways, hosting providers, analytics tools, communication services, identity-verification providers, social networks, or other third-party services.

Third-party services may be governed by their own terms and privacy notices. Univerax is not responsible for a third party’s independent systems, content, availability, or conduct, except to the extent responsibility cannot lawfully be excluded.

The presence of an integration or link does not necessarily constitute endorsement.

22. Moderation and Enforcement

Univerax may use proportionate manual or automated measures to detect fraud, security threats, illegal content, policy violations, intellectual property infringement, or harmful conduct.

Where reasonably necessary and permitted by law, Univerax may:

Request information or verification;

Warn a user;

Limit access to a feature;

Restrict the visibility of content;

Remove or disable content;

Delay or restrict a transaction or payout;

Suspend or terminate an account;

Preserve relevant records;

Notify affected parties; or

Report matters to payment providers, competent authorities, or other legally authorized recipients.

When required by applicable law, Univerax will provide reasons, complaint channels, or review mechanisms for moderation decisions.

23. Suspension and Termination

You may stop using the Platform at any time and may request account closure through [ACCOUNT CLOSURE METHOD].

Univerax may suspend, restrict, or terminate access where reasonably necessary because of:

A material or repeated breach of these Terms;

Fraud, abuse, security risk, or unauthorized access;

Unlawful activity or a valid legal request;

Risk to users, third parties, or the Platform;

Failure to complete required verification;

Non-payment of applicable fees; or

Discontinuation of a feature or service.

Where appropriate and legally required, Univerax will provide notice or an opportunity to remedy the issue.

Termination does not automatically cancel completed transactions, outstanding payment obligations, pending disputes, legal retention duties, or provisions intended to survive termination.

24. Platform Availability and Changes

Univerax aims to maintain a reliable Platform but does not guarantee uninterrupted or error-free availability.

Access may be limited because of maintenance, updates, security incidents, network failures, third-party services, legal requirements, force majeure events, or circumstances beyond reasonable control.

Univerax may add, modify, suspend, or discontinue features. Where a change materially affects paid or ongoing services, any notice, refund, termination, or transition rights required by applicable law or specific contract will apply.

25. Disclaimers

To the maximum extent permitted by applicable law:

The Platform is provided on an “as available” basis;

Univerax does not guarantee that every listing, user statement, review, qualification, or third-party offering is accurate or suitable;

Univerax does not guarantee a particular commercial, educational, professional, technical, or financial outcome;

Users remain responsible for evaluating products, providers, buyers, compatibility, risks, and transaction terms; and

Content available through the Platform does not constitute legal, medical, financial, tax, or other regulated professional advice unless expressly provided by an appropriately qualified and identified provider.

These disclaimers do not apply to guarantees, duties, or consumer protections that cannot lawfully be excluded.

26. Limitation of Liability

To the maximum extent permitted by applicable law, Univerax will not be liable for indirect, incidental, special, exemplary, or consequential losses, including loss of profit, business opportunity, goodwill, or data, arising from use of the Platform.

Any limitation or cap on Univerax’s aggregate liability must be interpreted subject to:

Mandatory consumer law;

Liability that cannot legally be limited or excluded;

Univerax’s role in the specific transaction;

Any separate paid-service agreement; and

Applicable rules concerning intent, gross negligence, personal injury, fraud, data protection, or statutory duties.

Nothing in these Terms limits liability where doing so would be unlawful.

27. User Responsibility and Indemnification

To the extent permitted by applicable law, a business user, seller, author, or provider will be responsible for substantiated third-party claims, losses, or reasonable costs arising from that user’s:

Unlawful product, service, listing, or content;

Infringement of third-party rights;

Breach of applicable seller or provider obligations;

Fraud, willful misconduct, or material breach of these Terms; or

Failure to hold a legally required license, authorization, or qualification.

This section does not impose liability beyond what is valid and enforceable under applicable law and does not remove mandatory consumer protections.

28. Privacy and Data Protection

Personal data is processed as described in the applicable Privacy Policy, KVKK Privacy Notice, Cookie Policy, and other data-protection notices.

These Terms do not constitute general consent to every personal-data processing activity.

Where consent is legally required, it will be requested separately and through an appropriate choice mechanism. Users may also have rights concerning access, correction, deletion, objection, restriction, portability, or withdrawal of consent, depending on the applicable law.

29. Electronic Notices and Records

Univerax may provide contractual, transactional, security, or service-related notices through:

The Platform;

The user’s registered email address;

Account notifications;

Other contact channels selected by the user; or

Another legally permitted durable medium.

Users are responsible for keeping their contact information current.

Marketing communications are subject to separate choices and applicable electronic communications rules. Refusing marketing communications will not prevent necessary service, security, transaction, or legal notices.

30. Governing Law and Disputes

These Terms are governed by the laws of [GOVERNING LAW JURISDICTION], without prejudice to mandatory consumer protections that may apply in the user’s country of residence.

The updated version will state its effective date. Where required by law or where a change materially affects users’ rights or obligations, Univerax will provide reasonable advance notice and request renewed acceptance where necessary.

Changes will not retroactively alter a completed transaction unless permitted by law and expressly agreed where required.

32. Severability and No Waiver

If any provision of these Terms is found invalid or unenforceable, the remaining provisions will continue to apply to the extent permitted by law.

A failure or delay by Univerax in enforcing a provision does not waive the right to enforce it later.

33. Assignment

Users may not transfer their rights or obligations under these Terms without Univerax’s prior written consent, except where applicable law provides otherwise.

Univerax may transfer its rights and obligations as part of a merger, acquisition, corporate restructuring, asset transfer, or similar transaction, provided that user rights are not unlawfully reduced and any required notice is given.

34. Entire Agreement

These Terms, together with the documents expressly incorporated or applicable to a particular feature or transaction, constitute the agreement concerning general use of the Platform.

They do not replace transaction-specific consumer disclosures, sales or service contracts, license terms, seller/provider agreements, privacy notices, or consent records where those documents are separately required.
